Item 5.02.

Departure of Directors or Certain Officers

Effective September 15, 2017, Darryl L. Faye retired from the Company’s Board of Directors in accordance with the mandatory retirement provisions contained in the Company’s governing documents. Mr. Faye has been a valued member of the Company’s Board of Directors since 2012 and has served on the Bank’s Audit Committee.
