     The resignation of Richard J. Lis, the Company's Executive Vice President
and the Chief Lending Officer of The Farmers & Merchants State Bank, was
accepted by the Company's President and Chief Executive Officer, Paul S.
Siebenmorgen, effective October 30, 2007.
